Use of Funds

All funds contribute directly to the research, development, and implementation of the AI Opera Framework over four years (2025–2029). This includes:

What am I buying exactly? You’re purchasing a participation share in the AI Opera Framework, a multi-year R&D structure designed to develop live-performance AI characters, systems, and staging tools. It is not a donation. It is a legal agreement that entitles you to a portion of net revenue from this framework.

What is the “AI Opera Framework”? It is the core infrastructure being developed between 2025–2029 by Bahaa El Ansary. It includes: - The first prototype AI character: Sebastian - Future models of stage-responsive AI performers - A method for training singers to interact with AI on stage - Prototyping, testing, and live performance staging - Touring and licensing development - A dedicated UK company to manage the IP and monetization This is a contained ecosystem, separate from Bahaa’s other works or future studio ventures.

Do I get shares in Bahaa’s full company or future artistic projects? No. You are backing a ring-fenced IP framework only. You do not own shares in the broader studio, Bahaa’s name, or other commissions. This protects your share from dilution and preserves future flexibility for new projects.

What happens if the project succeeds commercially? Revenue from licensing, performance fees, or other monetization channels will be distributed proportionally to all shareholders. This includes: - Touring income - Licensing fees to opera houses or institutions - Grants awarded based on monetization metrics - Potential licensing of technology or interaction systems

How many shares are available? The AI Opera Framework is divided into 1,000 total shares. Each share represents 0.10% of net revenue. Only 150–200 shares (15–20%) are being released during this backer phase.

Is there a legal agreement? Yes. Upon payment, you receive a signed participation agreement outlining: - Your share size - What you are entitled to - What this share applies to (AI Opera Framework only) - Payment terms and optional equity conversion (for strategic investors) - Reconfirmation at the point of company incorporation

What if I can’t pay all four installments? Participation shares are fully granted only after all four installments are completed. If payments stop midway, the share is proportionally reduced based on a stricter forfeiture policy: - 1 installment (£350): No share is retained. The agreement is void. - 2 installments (£700): You retain 0.025% (half of what you've paid toward) - 3 installments (£1,050): You retain 0.056% (75% of what you've paid toward) - 4 installments (£1,400): You secure the full 0.10% share Any unpaid or lapsed installment beyond 60 days will result in reduction or cancellation, ensuring fairness and consistency across the share structure.

Will I receive receipts? Yes. We provide optional PDF confirmation including: - Share number - Date of payment - Terms reference

Can I sell or transfer my share? Not at this time. These are private participation agreements, not publicly tradeable securities. However, in the future, the project may offer buy-back options or profit-sharing vehicles through the IP-holding company.

Is this based in the UK? These agreements are issued in preparation for a UK-based legal structure. The IP-holding company for the AI Opera Framework will be registered in the UK by 2026, and all participation terms will be reaffirmed under UK commercial law.

Why is RCM (Royal College of Music) mentioned? The R&D of this project is integrated into Bahaa’s doctoral work at the RCM. Part of the funds contribute to tuition and physical presence costs that allow this research to develop within an institutional framework, even though the project remains fully independent and artist-led.

How is the money held? All payments are currently processed through a UK-based Wise account held by the founder. These funds are tracked, receipted, and dedicated solely to project development. Once the company is formed, all remaining funds will be transferred to it and backers reaffirmed under the new legal structure.

What will I receive as a backer? - Legal confirmation of your share - Optional public recognition (Founding Backer / Investor) - Annual updates and previews - Digital access to major prototypes, tests, and internal documents - Invitation to select behind-the-scenes sessions (for strategic investors)

What if I just want to support but not own anything? You are welcome to contribute without claiming a share. Simply reach out to management@bahaaelansary.com with your intent and you’ll be thanked as a cultural supporter, not a shareholder.

What happens after 2029? By 2029, the framework will have completed its initial cycle. At that point, monetization should already be in place (touring, licensing, residencies, etc.). Shareholders will continue receiving revenue as outlined in their agreements, and the framework may evolve into a standalone product, system, or live performance franchise.

Will this become a commercial tech product or remain an artwork? Both. The goal is to build a performance-first artistic system that can also be licensed, adapted, or used in educational and interdisciplinary contexts. It remains an artwork — but one that performs as a platform.

What if the project doesn’t make money? You still receive credit, access, and recognition — but there is no financial return. This is a high-risk, high-concept creative infrastructure. There is no guarantee of profit — only shared belief in building something meaningful.
